Online UCC Filing Guidelines

The following guidelines cover the basic requirements for filing Uniform Commercial Code documents with the Treasurer, online, through the NJ Business Gateway. The guidelines include information on online fee payment options and instructions for each type of UCC filing. The instructions describe the data fields/informational requirements for each filing type.

Fee Payment Options:

a. Credit card, VISA/MASTER-CARD, American Express or DISCOVER, provide card number and expiration date; and

b. Depository account as assigned by the Treasurer

(The Division plans to add an electronic check option in the near future.)

INSTRUCTIONS FOR EACH UCC FILING TYPE

UCC 3

UCC-1 - FINANCING STATEMENT

A UCC-1 records and protects a secured party's interest in the collateral offered by a debtor for a loan. In essence, the UCC-1 gives public notice relative to the debtor-secured party relationship and the collateral involved.

Fee for filing a UCC-1 -- $25.00 

Required Fields:

In order to be accepted for filing, an online UCC-1 filing must contain the fields and signature(s) listed below:

Debtor Name -- Enter at least one debtor. 

A debtor can be one or more persons, companies, members of a partnership, corporation or other business entity. You may enter up to five debtors online.  (Note: Currently, online filing is not available if the debtor is a transmitting utility or if the filing involves bondable transition property.)

You must specify whether the debtor is an individual or organization (for example, corporation, limited liability company, trust, etc.).

For an individual, enter the correct first, middle (if applicable) and last names. If there is only a single name -- for example, "Cher," enter the name in the last name field.

For an organization, enter: 
The name as shown in the original document that established or authorized the organization -- for example, the name as shown in the certificate of corporation, certificate of formation, etc.  (Note: Be sure to include the designator that identifies the type of entity, such as Inc., LLC, LLP, etc.) ;

The state in which the organization was incorporated, formed, etc.; and 

The organization's identification number if known.

Debtor Address -- Enter an address for each debtor. 

Secured Party Name -- Enter at least one secured party.

The secured party can be one or more persons, companies, members of a partnership, corporation or other business entity, or any combination thereof. You may enter up to five secured parties online.

Secured Party Address -- Enter an address for each secured party.

Collateral Description -- This should be a statement that describes the items offered for security for the payment of the loan.

Optional Fields:

Assignee -- The secured party may indicate an assignee when filing a UCC-1 online, by entering the assignee as a secured party in accordance with the instructions above.  (Note: Filers may enter the original secured party and assignee if desired.  Identify who the assignee is by entering a brief note in the Comment Field supplied in the Secured Party block.  The note will be made part of the original financing statement.)

Comment -- You may indicate any addtional information that may be relevant to the filing and/or add information that identifies an assignee as highlighted above.

Indexing Profile for UCC-1, Financing Statement:

Specific data elements keyed into the online UCC system will entered into the State of New Jersey's Uniform Commercial database, and an IMAGE of ALL the filing data elements will be scanned and stored on the State's electronic imaging system.

UCC-3 - CHANGING A FILED FINANCING STATEMENT

A UCC-3 records gives public notice of various changes to a filed financing statement. The following change types are accepted in New Jersey:
Continuation
Assignment
Termination
Amendment

Fee for filing all UCC-3's -- $25.00

Continuation

A continuation statement extends the maturity date of a filed financing statement for five (5) years.  A continuation statement may only be submitted during the six (6) month period prior to the maturity date of the financing statement. The continuation statement cannot be used for purposes other than continuing the effective period of a filed financing statement. 

Required Fields:

In order to file a continuation, you must reference the Filing Number of the Effective UCC 1 being continued (must be the # assigned by the Treasurer).

Select the filing type -- Continuation.

Indexing Profile:

Specific data elements keyed into the online UCC system will entered into the State of New Jersey's Uniform Commercial database, and an IMAGE of ALL the filing data elements will be scanned and stored on the State's electronic imaging system.

Assignment

An assignment records and gives public notice that the secured party is assigning (transferring) all or a portion of his/her rights in the collateral listed in a filed financing statement.

Required Fields:

In order file an assignment, you must reference the Filing Number of the Effective UCC 1 involved (must be the # assigned by the Treasurer).

Select the filing type -- Assignment.

Enter the assignee name/address (use Secured Party field).

Indexing Profile:

Specific data elements keyed into the online UCC system will entered into the State of New Jersey's Uniform Commercial database, and an IMAGE of ALL the filing data elements will be scanned and stored on the State's electronic imaging system.

Termination

A termination records and gives public notice that the secured party no longer has a secured interest in the collateral listed in a filed financing statement.

Required Fields:

In order to file a termination, you must reference the Filing Number of the Effective UCC 1 being terminated (must be the # assigned by the Treasurer).

Select the filing type -- Termination.

Indexing Profile:

Specific data elements keyed into the online UCC system will entered into the State of New Jersey's Uniform Commercial database, and an IMAGE of ALL the filing data elements will be scanned and stored on the State's electronic imaging system.

Amendment

An amendment is filed to record and give public notice regarding changes to a filed financing statement. These filings may be used to record changes to collateral or the names/addresses of debtors or secured parties. If the filing adds collateral to an existing financing statement, the effective date for the added collateral extends only from the time of filing through to the maturity date of the financing statement. Amendments may not be used to assign, terminate or continue a financing statement.

Required Fields:

In order to file an amendment, you must reference the Filing Number of the Effective UCC 1 being amended (must be the # assigned by the Treasurer).

Select the filing type -- Amendment.

Fields That May be Amended or Added:

Please note that whether you are changing an existing debtor or secured party record, or adding a new debtor or secured party, all of the information you enter on-line will be appended to the State's database. You will be able to track changes to debtor/secured party information by reviewing the images of documents on file for this Filing Number. In this connection, an image of your on-line amendment will be kept on the State's image database and will be available for inspection.
