Whether for profit or nonprofit, corporations are legally formed in New Jersey through the Division of Revenue, Business Services Bureau. The Division of Revenue, Business Services Bureau also handles:
Applications by foreign corporations for Certificates of Authority to do business in New Jersey;
Applications for dissolution, merger or withdrawal;
Annual Report filing by all domestic and foreign corporations registered in New Jersey;
Applications for Certificate of Good Standing;
Registered Agent designation or change for both domestic and foreign corporations; and
Certificates of Formation of Limited Liability Companies.
